  1. # PolyForm Small Business License 1.0.0
  2. <https://polyformproject.org/licenses/small-business/1.0.0>
  3. ## Acceptance
  4. In order to get any license under these terms, you must agree to them as both
  5. strict obligations and conditions to all your licenses.
  6. ## Copyright License
  7. The licensor grants you a copyright license for the software to do everything
  8. you might do with the software that would otherwise infringe the licensor's
  9. copyright in it for any permitted purpose. However, you may only distribute
  10. the software according to [Distribution License](#distribution-license) and
  11. make changes or new works based on the software according to [Changes and
  12. New Works License](#changes-and-new-works-license).
  13. ## Distribution License
  14. The licensor grants you an additional copyright license to distribute copies
  15. of the software. Your license to distribute covers distributing the software
  16. with changes and new works permitted by [Changes and New Works License](#changes-and-new-works-license).
  17. ## Notices
  18. You must ensure that anyone who gets a copy of any part of the software from
  19. you also gets a copy of these terms or the URL for them above, as well as
  20. copies of any plain-text lines beginning with `Required Notice:` that the
  21. licensor provided with the software. For example:
  22. > Required Notice: Copyright Yoyodyne, Inc. (http://example.com)
  23. ## Changes and New Works License
  24. The licensor grants you an additional copyright license to make changes and
  25. new works based on the software for any permitted purpose.
  26. ## Patent License
  27. The licensor grants you a patent license for the software that covers patent
  28. claims the licensor can license, or becomes able to license, that you would
  29. infringe by using the software.
  30. ## Fair Use
  31. You may have "fair use" rights for the software under the law. These terms
  32. do not limit them.
  33. ## Small Business
  34. Use of the software for the benefit of your company is use for a permitted
  35. purpose if your company has fewer than 100 total individuals working as employees
  36. and independent contractors, and less than 1,000,000 USD (2019) total revenue
  37. in the prior tax year. Adjust this revenue threshold for inflation according
  38. to the United States Bureau of Labor Statistics' consumer price index for
  39. all urban consumers, U.S. city average, for all items, not seasonally adjusted,
  40. with 1982–1984=100 reference base.
  41. ## No Other Rights
  42. These terms do not allow you to sublicense or transfer any of your licenses
  43. to anyone else, or prevent the licensor from granting licenses to anyone else.
  44. These terms do not imply any other licenses.
  45. ## Patent Defense
  46. If you make any written claim that the software infringes or contributes to
  47. infringement of any patent, your patent license for the software granted under
  48. these terms ends immediately. If your company makes such a claim, your patent
  49. license ends immediately for work on behalf of your company.
  50. ## Violations
  51. The first time you are notified in writing that you have violated any of these
  52. terms, or done anything with the software not covered by your licenses, your
  53. licenses can nonetheless continue if you come into full compliance with these
  54. terms, and take practical steps to correct past violations, within 32 days
  55. of receiving notice. Otherwise, all your licenses end immediately.
  56. ## No Liability
  57. ***As far as the law allows, the software comes as is, without any warranty
  58. or condition, and the licensor will not be liable to you for any damages arising
  59. out of these terms or the use or nature of the software, under any kind of
  60. legal claim.***
